1. Who we are

4080 Studio is a brand strategy and web design studio registered in Uttarakhand, India (Tax ID: 05EHXPP2484R1Z2). References to "we", "us", or "our" mean 4080 Studio.

2. Use of the website

You may browse this website for personal or commercial information purposes. You must not:

• Reproduce, distribute, or republish any content without our written permission
• Scrape, crawl, or index the site in a way that places unreasonable load on our servers
• Use the site for any unlawful purpose or in a way that infringes on others' rights
• Attempt to gain unauthorised access to any part of the site or its infrastructure

All content on this website — copy, images, design, code — is owned by 4080 Studio or used with permission. Nothing on this site transfers any intellectual property rights to you.

3. Our services

We offer brand strategy, visual identity, and website design and development services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate proposal or statement of work agreed in writing between you and 4080 Studio. These terms of service apply alongside — not instead of — that agreement.

4. Payment

Payment terms are set out in your project proposal. Unless otherwise agreed:

• A deposit is due before work begins
• Remaining invoices are due on the dates specified in the proposal
• Late payments may attract interest at 2% per month on the overdue balance
• We reserve the right to pause or withhold delivery of work until outstanding invoices are paid

5. Intellectual property

All work produced by 4080 Studio remains our property until payment is received in full. Upon full payment, ownership of the final agreed deliverables transfers to you, unless otherwise stated in the project agreement.

We retain the right to display completed work in our portfolio, case studies, and marketing materials unless you request confidentiality in writing before the project begins.

Preliminary concepts, unused design directions, source files, and design system components not explicitly included in your deliverables remain the property of 4080 Studio.

6. Client responsibilities

You agree to provide accurate information, timely feedback, and any assets or access required for us to deliver your project. Delays caused by late content, approvals, or access will extend timelines accordingly and may affect costs. We are not liable for delays or quality issues that result from incomplete or inaccurate information provided by you.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared in the course of a project. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Warranties and disclaimers

We will deliver our services with reasonable skill and care. However, we make no guarantee of specific business outcomes such as funding, revenue growth, or user acquisition. Brand strategy and design are inputs — results depend on many factors outside our control.

The website is provided "as is". We make no warranties about uptime, accuracy, or fitness for a particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, 4080 Studio's total liability to you for any claim arising from our services or these terms shall not exceed the fees paid by you in the three months preceding the claim. We are not liable for indirect, consequential, or special damages.

10. Termination

Either party may terminate an engagement by giving 14 days' written notice. Upon termination, you are responsible for fees covering work completed to that date. If you terminate after a project milestone has been approved and invoiced, that invoice remains payable in full.

We may terminate immediately if you breach these terms or your project agreement and do not remedy the breach within 7 days of written notice.

11. Governing law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Uttarakhand, India.

12. Changes to these terms

We may update these terms from time to time. The revised version will be posted here with an updated date. Your continued use of the site or our services after changes are posted constitutes acceptance of the revised terms.
